Oct 27 filing - Chennai City Civil Court, Commercial Division - Caveat petitions C/2345-47/2026 by Venu Srinivasan (Chairman Emeritus TVS Motor), Mallika Srinivasan (MD TAFE), Lakshmi Venu (Deputy MD Sundaram-Clayton). Respondent: Sudarshan Venu, son, MD TVS Motor. Under Section 148A CPC, caveat says if Sudarshan files suit for partition, injunction, management rights, court must hear caveators first before granting ex parte stay.
Why now? Family settlement deed of 2020 divided TVS Group among four branches - Venu branch got TVS Motor, Sundaram-Clayton, Sundaram Fasteners. But within Venu branch - internal split - daughter Lakshmi, Harvard MBA, runs Sundaram-Clayton (Rs 5,200 cr turnover, die casting), son Sudarshan, Wharton, runs TVS Motor (Rs 40,000 cr, 4th largest two-wheeler, owns Norton UK). Mother Mallika runs TAFE (tractors, Rs 16,000 cr) - world's third largest tractor.

Issue - Sundaram-Clayton holds 50% in TVS Motor via TVS Holdings. Who controls holding? Venu holds 12%, Mallika 8%, Lakshmi 15%, Sudarshan 20% via trusts. Lakshmi alleges Sudarshan getting disproportionate through Sundaram Fasteners stake transfer in 2023 - Fasteners gave bonus shares to Sudarshan trust.
Similar feuds - Murugappa (2020-23) - sister Valli Arunachalam vs brothers over Ambadi Investments — Supreme Court said daughters have equal rights under Hindu Succession 2005. Bajaj family 2010 - split between Rahul vs Shishir. Singhania - Gautam vs father Vijaypat. TVS now.
Investors worried - TVS Motor stock fell 2.1% Oct 28 to Rs 2,456, market cap Rs 1.16 lakh crore. Norton UK expansion needs Rs 2,000 crore. If family fights, decisior delays
Legal: Commercial court will see if dispute covered by family arbitration clause - 2020 settlement has Singapore International Arbitration Centre clause. Caveat valid 90 days, can renew.
Gender angle: Lakshmi Venu, 42, married to Rohan Kanwar, ex-Daimler strategy head, now joint MD. She is not typical daughter-in-law - independent operator. She is asserting Hindu Succession equal share - landmark Supreme Court Vineeta Sharma 2020 says daughter coparcener by birth.
Mallika Srinivasan - own powerhouse - TAFE acquired Eicher Tractors 2005, revenue doubled. She may side with daughter? Sources say mother-daughter vs father-son? Not clear.

For Indian business, 65% Nifty 500 family-owned. Without clear succession will, value erodes - Raymond lost 42% market cap during Gautam Singhania vs father feud 2017-19.
Solution: TVS needs formal family constitution, like Mahindra has - with board including independent directors to decide succession, not family dinner.
Caveat is warning shot - next is partition suit.
